CODE OF CONDUCT, DISCIPLINARY SYSTEM AND ORGANIZATIONAL MODEL
The regime of administrative liability imposed on legal persons, companies and associations. On June 8, 2001 the legislative decree No. 231 was issued , on the “Discipline of administrative liability of legal persons, companies and associations even without legal personality “, which introduced into the Italian law a regime of administrative liability (substantially similar to criminal liability) to be charged to the corporations (to be understood as companies, associations, consortia, etc..) for crimes absolutely listed and committed in their own interest or advantage. After establishing the administrative liability of corporations, the articles 6 and 7 of the decree stipulate that the corporation is not liable if it proves that it has adopted and effectively implemented, before the event took place, “models of organization, management and control able to prevent the crimes similar to that occurred” and it has appointed an organ of internal control, with the aim of preventing the offences listed. Italiana Costruzioni has adopted this model, sensitive to the need to ensure conditions of fairness and transparency in business and corporate activities, to protect its position and image, the expectations of its shareholders and the work of its employees, and aware of the importance of being endowed with an internal control system able to prevent unlawful acts by its directors, employees, representatives and business partners, so that they take an appropriate and linear conduct in performing their activities.
